These general terms of sale (the “Terms”) govern the contractual relationship between Soldum (“Soldum” or “the Publisher”), publisher of online audiovisual pre-production software, and any individual or legal entity (“the Customer”) who subscribes to one of its plans.
Any subscription implies unreserved acceptance of these Terms, which prevail over any other document of the Customer, including any general terms of purchase.
These Terms set out the rights and obligations of the parties regarding access to the Soldum software, provided as SaaS, and in particular to its modules:
Soldum is offered under several plans:
The detailed content of each plan is shown on the pricing page at the time of subscription. The rights attached to a project depend on its owner’s plan: a member invited to a Studio project does not need to subscribe themselves.
Prices are shown in euros excluding tax on the pricing page. As long as Soldum falls under the French VAT exemption scheme for small businesses (franchise en base), VAT is not applicable (Article 293 B of the French General Tax Code, CGI) and the Customer pays the amount shown. If VAT becomes applicable, it is added to the amount excluding tax at the rate in force.
Paid plans can be subscribed to monthly or yearly. The annual commitment, paid once for twelve months, comes with a discount shown on the pricing page.
A student discount may apply to the Solo plan, after verification of enrollment in an educational institution. It ends if the Customer changes plans.
Soldum may change its prices. Any change is notified to the Customer before it takes effect and only applies from the next billing period; a Customer who refuses it may cancel under the conditions of Article 7.
Subscription takes place online from within the software. It is final once payment is validated, or once the payment method is saved when a trial is offered. The Customer acknowledges having read these Terms before validating.
A free trial period, whose length is shown at the time of subscription, may be opened on paid plans. It is granted only once per account and gives the same rights as the paid subscription. The bank card is saved at sign-up but is only charged at the end of the trial, unless the subscription is cancelled before then from the account settings.
Soldum reserves the right to refuse a subscription in the event of abuse, fraud or a prior dispute with the Customer.
Payment is made by bank card through the payment provider Stripe. Soldum never has access to the full card details.
The monthly subscription is charged every month on its anniversary date; the annual subscription is charged once for twelve months. Invoices are available from the account’s billing area.
If a payment fails, new attempts are made and access is maintained during that period. If payment is not completed, access to paid features is suspended until the situation is resolved, without the Customer’s data being deleted. For a business Customer, any late payment automatically incurs penalties at three times the French legal interest rate and a fixed indemnity of €40 for recovery costs.
A consumer Customer has fourteen days from subscription to withdraw, without having to give a reason, by writing to contact@soldum.fr.
By requesting immediate access to the service before the end of this period, the consumer Customer agrees that performance begins at once. If they then withdraw, they remain liable for an amount proportionate to the service provided up to their withdrawal. This right does not apply to a business Customer.
The monthly subscription has no commitment. The annual subscription commits the Customer for twelve months. Both renew automatically for an identical period.
The Customer may cancel at any time from their account settings. Cancellation takes effect at the end of the period already paid, until which access is maintained; no prorated refund is due. Access to the modules then ends; the Customer may subscribe to a plan again at any time.
In the event of a serious breach of these Terms by the Customer, in particular fraudulent or unlawful use of the service, Soldum may suspend or terminate their access fifteen days after a formal notice that remains unheeded, or immediately in an emergency.
Soldum uses reasonable means to ensure access to the software 24 hours a day, 7 days a week. Access may however be interrupted for maintenance, updates or in the event of force majeure. This is an obligation of means.
The software evolves continuously. Soldum may add, modify or remove features, without ever substantially reducing the core of the subscribed plan during a billing period.
The Customer undertakes to:
Soldum relies on artificial intelligence to produce breakdowns, budgets, schedules, contracts and other documents. These results are an aid to preparation and may contain errors or omissions.
They do not replace the advice of a legal, accounting or payroll professional, nor the approval of the bodies concerned. The Customer remains solely responsible for checking them and for the use they make of them.
The Soldum software, its brand, interface and content remain the exclusive property of the Publisher. The subscription grants the Customer a personal, non-exclusive and non-transferable right of use for the duration of the subscription.
The Customer retains full ownership of the content they import, including their screenplays, and of the documents they produce with the software. They authorize Soldum to process them only to the extent necessary to provide the service. Soldum does not use them for any other purpose and does not share them with third parties for commercial purposes.
Soldum can only be held liable in the event of proven fault. Soldum cannot be held liable for:
For a business Customer, Soldum’s liability is in any event limited to the amounts paid by the Customer over the last twelve months.
Soldum processes the Customer’s personal data in accordance with the GDPR. The data collected, its purposes, retention periods and the Customer’s rights are detailed in the privacy policy. To exercise their rights, the Customer may write to contact@soldum.fr.
Soldum may amend these Terms. The Customer is informed at least thirty days before they take effect. The applicable Terms are those in force on the date of subscription or renewal.
These Terms are governed by French law.
In the event of a dispute, the parties will seek an amicable solution. Failing that, the dispute is brought before the competent courts; for a business Customer, before those with jurisdiction over the Publisher’s registered office.
In accordance with Article L.612-1 of the French Consumer Code, a consumer Customer may use a consumer mediator free of charge with a view to the amicable resolution of the dispute.
